1. Purpose & Scope
This Acceptable Use Policy (“AUP”) defines the boundaries of permissible use for all Onyx Studios services, including AI Voice Synthesis, Studio Music Production, and Live Session Recording. This AUP forms part of the binding agreement between you and Onyx Studios and should be read in conjunction with our Terms of Service and Privacy Policy.
In the event of any conflict between this AUP and the Terms of Service, the Terms of Service shall prevail. Violation of this AUP constitutes a material breach of the Terms of Service and may result in the enforcement actions described in Section 24 below.
2. Prohibited Content
Users are strictly prohibited from using the Onyx Studios Platform to generate, record, or distribute any of the following:
Content that facilitates fraud, money laundering, promotion of controlled substances, or any activity that violates applicable law.
Content promoting discrimination, inciting hatred, or glorifying violence against any individual or group based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin.
Hardcore pornography, non-consensual synthetic intimate media, or any content that sexualizes minors.
- Copyright Laundering: Uploading MIDI files or scores without proper authorization for the purpose of re-recording them through Onyx services.
- Plagiarism: Creating works that intentionally infringe upon existing copyrighted musical compositions.
Content that is defamatory or intended to damage the professional reputation of any individual, including members of Onyx’s Global Talent Network.
For all MIDI files, MusicXML, PDF scores, audio samples, or any other source material uploaded for production, the User warrants they hold the necessary synchronization, mechanical, and sampling rights. This includes any third-party samples, loops, or copyrighted recordings embedded in the submission. Onyx Studios acts solely as a technical service provider (work-for-hire) and is not responsible for verifying the underlying copyright ownership of user-provided compositions. See also Section 9.3 (Client Content Warranty) of the Terms of Service.
Users agree to utilize Assets in compliance with applicable accessibility and anti-discrimination laws in their jurisdiction. You shall not use Onyx AI voices to create content that mocks, discriminates against, or excludes individuals based on disability, age, or other protected characteristics.
3. Impersonation & Voice Likeness
Users are strictly prohibited from using Onyx AI voices to create content that impersonates specific, identifiable individuals — whether public figures or private citizens — without their express legal consent. This includes:
- Deepfake Audio: Generating audio intended to deceive listeners into believing it was spoken by a specific person.
- Political Misinformation: Creating synthetic audio for election interference, propaganda, or deceptive political messaging.
- Unauthorized Voice Simulation: Simulating the vocal identity of any person for non-authorized commercial use, parody presented as genuine, or reputational harm.
- Executive Impersonation: Using Onyx’s AI engines to replicate or simulate the voice, likeness, or persona of Onyx’s founders, directors, or employees. Any attempt to use the Platform for executive impersonation, business email compromise, or voice spoofing targeting Onyx personnel will result in immediate account termination and may be subject to legal action.
This section is enforced in conjunction with the anti-cloning and IP indemnification provisions in Section 19 of our Terms of Service.
4. Audio Fraud, Social Engineering & Anti-Spam
Users are strictly prohibited from using Onyx audio assets to engage in social engineering, voice phishing (Vishing), or any activity intended to deceive individuals for the purpose of obtaining sensitive information, unauthorized access, or financial gain.
This includes but is not limited to: impersonating family members or business associates in phone calls, creating fraudulent voice authentication recordings, or producing deceptive customer service scripts designed to extract personal data.
Anti-Spam & Robo-calling: Users shall not utilize Onyx AI Voice Assets to generate mass-distributed spam, unsolicited marketing calls (robo-calls), or automated voice messages intended for harassment or fraudulent outreach. Violations may be reported to the relevant telecommunications regulatory authority in applicable jurisdictions.
Prohibition of Subliminal Manipulation: The use of Onyx Assets for subliminal messaging, coercive psychological testing, or non-consensual emotional conditioning is strictly forbidden.
5. Sensitive Professional Advice
Users may not use Onyx voices to generate content intended to provide authoritative medical, legal, financial, or safety advice. Onyx is a creative production tool; our generated content shall not be used as a substitute for professional certification or expert consultation in high-risk domains. Onyx Studios disclaims all liability for any harm resulting from such misuse.
6. Asset Usage Restrictions
Clients are granted a usage license but are strictly prohibited from selling raw audio stems, vocal samples, or instrument loops generated by Onyx on third-party stock media platforms (e.g., Splice, AudioJungle, Pond5). Assets must be used as part of a larger, integrated creative work (e.g., a film, game, advertisement, or song).
While users own the rights to the generated Assets as specified in their License Certificate, they are prohibited from falsely claiming the underlying AI technology or proprietary workflows as their own. You may not white-label the Onyx service or its output to suggest that you are the developer of the synthesis technology.
Users may not package, redistribute, or sell the specific prompt engineering sequences or parameter configurations used to achieve specific audio results on the Onyx Studios Platform as a standalone commercial service or product.
Clients may use the Assets for commercial purposes but are strictly prohibited from attempting to register the generated AI vocal characteristics or MIDI-synthesized patterns as exclusive trademarks, patents, or trade dress. You may not claim ownership over the underlying sonic DNA of the Onyx Engine.
The Client acknowledges that the internal mathematical weights, neural network architectures, and latent space representations of the Onyx Engine are the exclusive intellectual property of Onyx Studios. Usage of the Service does not grant any claim over the algorithmic improvements or learned representations of the models.
Users are strictly prohibited from minting, fractionalizing, or incorporating Onyx-generated Assets into any Non-Fungible Tokens (NFTs) or blockchain-based digital assets without an explicit Secondary Market License obtained in writing from Onyx Studios.

7. Digital Provenance & Watermark Protection
Onyx Studios may, now or in the future, embed invisible watermarks, metadata, or digital identifiers in generated audio files (AI Voice and Music) to track license compliance and verify the origin of Assets.
Any attempt to strip, mask, alter, or circumvent these identifiers for the purpose of hiding the AI-generated origin, obscuring the source of the Asset, or evading license verification constitutes a material violation of this AUP.
Chain of Responsibility: Where such identifiers are present, the Client is responsible for ensuring that any third-party contractors, distributors, or sub-licensees do not circumvent or remove them.
Content Provenance: Onyx Studios may implement C2PA (Coalition for Content Provenance and Authenticity) standards or equivalent content credentials in the future to support content authenticity verification. The User shall not attempt to remove or forge such credentials if present.

8. Talent Protection, Anti-Bypass & Live Session Privacy
Users engaged in Live Session or 100% Live Studio services are strictly prohibited from soliciting or hiring Onyx-contracted talent directly, bypassing the Platform. All communications and future bookings related to talent introduced via Onyx must be processed through the Onyx Studios Platform.
Any attempt to circumvent this restriction — including but not limited to contacting talent through personal social media, third-party agencies, or intermediaries — constitutes a material breach and is subject to the enforcement actions described in Section 24 below.
Live Session Privacy: During Live Session or Directing services, users may not record the session’s video feed, talent’s likeness, or behind-the-scenes conversations without explicit written consent from Onyx Studios. Any unauthorized recording or distribution of talent’s personal appearance or non-production dialogue is strictly prohibited.
This provision is enforced alongside Section 25 (Non-Solicitation & Non-Circumvention) of the Terms of Service.
9. System Abuse & Technical Restrictions
You agree not to engage in any of the following activities:
Any attempt to decompile, disassemble, or derive the source code of Onyx’s proprietary AI models is strictly prohibited.
You are strictly prohibited from using audio files (Voice or Music) provided by Onyx to train, fine-tune, or develop any AI or machine learning systems. This prohibition is perpetual and survives any termination of your account. For full details including enforcement mechanisms, see Section 9.2 (No AI Training) and Section 34 (Compliance Verification) of the Terms of Service.
Using bots, spiders, scrapers, or other automated systems for unauthorized data extraction or audio asset harvesting from the Onyx Studios Platform.
Users shall not intentionally upload corrupted MIDI files, malformed PDF scores, or scripts designed to trigger system errors or performance degradation. Onyx reserves the right to rate-limit or suspend accounts that submit high volumes of non-productive or malicious requests.
Use of the Platform for the purpose of monitoring its performance, functionality, or benchmarking against competing services is strictly prohibited. Users representing, or affiliated with, competing AI voice or music technology companies are not permitted to use Onyx services for research and development purposes.
Users are strictly prohibited from using Onyx-generated audio as training data to develop, fine-tune, or improve any third-party voice synthesis or machine learning models. Using our output to distill or extract the vocal characteristics for the purpose of creating a competing model is a direct violation of our Intellectual Property rights and shall be pursued under the remedies described in the Terms of Service.
Users are prohibited from engaging in activities that impose an unreasonable load on Onyx’s infrastructure, including resource hoarding via automated scripts, repetitive non-productive generation requests designed to deplete system capacity, or any action intended to increase operational costs without legitimate creative intent.
Users are strictly prohibited from conducting any form of red-teaming, penetration testing, or vulnerability scanning on the Onyx Studios Platform without prior explicit written authorization.
Users are prohibited from exploiting technical bugs, system glitches, or pricing errors to obtain services, credits, or financial gains. Any assets or funds acquired through such exploitation will be deemed void, and the account will be permanently banned.
Users shall not engage in systematic querying or adversarial prompting designed to reveal Onyx’s internal logic, directing algorithms, or training methodologies.
Users are prohibited from using Assets to perform style-transfer analysis or to extract specific acoustic textures and sonic signatures of Onyx’s AI engines. Any attempt to replicate the unique artistic fingerprint of our models through secondary analytical tools constitutes a violation of our Trade Secret protection under Section 18 of this AUP.
10. High-Risk & Life-Safety Prohibition
The Service is not designed or intended for use in hazardous environments requiring fail-safe performance, such as life support systems, aircraft navigation or air traffic control, nuclear facility monitoring, autonomous vehicle operation, or medical emergency alert systems. Onyx Studios disclaims any and all liability for damages resulting from the use of AI Assets in high-risk, life-critical applications.
11. No False Endorsement & Brand Affiliation
You may not use the names “Onyx Studios” or “Fine Entertainment” in any manner that suggests an official endorsement, partnership, or sponsorship of your content without prior written consent. The use of our brand assets, logos, or trademarks for implied affiliation is strictly prohibited.
Confidentiality of Partnership: Neither party shall use the other party’s name, logo, or trademarks in press releases or marketing materials to imply a partnership without prior written consent. This is particularly critical for high-profile Live Session projects where the Client’s creative process must remain confidential.
12. Export Control & Sanctions Compliance
Onyx Studios operates in compliance with applicable international trade sanctions and export control regulations, including but not limited to:
- Taiwan — Trade Act (貿易法) and relevant orders of the Bureau of Foreign Trade
- United States — Office of Foreign Assets Control (OFAC) sanctions programs
- United Kingdom — Office of Financial Sanctions Implementation (OFSI) regulations
- European Union — EU Common Foreign and Security Policy (CFSP) restrictive measures
Onyx Studios does not provide services to, accept payment from, or deliver Assets to individuals or entities located in, incorporated in, or acting on behalf of the following comprehensively sanctioned jurisdictions:
North Korea (DPRK) · Iran · Syria · Cuba · Russia · Belarus · Myanmar
You represent and warrant that (a) you are not located in, organized under the laws of, or acting on behalf of any of the above jurisdictions; (b) you are not designated on any applicable sanctions or restricted-party list; and (c) you will not use the Platform to provide services or transfer Assets to any sanctioned entity, region, or for any military or dual-use purpose prohibited by applicable law.
Onyx Studios reserves the right to conduct Know-Your-Customer (KYC) verification at any time, and to immediately suspend or terminate any account or transaction that presents sanctions-related risk, without prior notice or liability.
This section supplements Section 14 (Global Compliance) of the Terms of Service.
13. AI Transparency & Disclosure Obligations
Where required by local law (e.g., the EU AI Act, or equivalent legislation in applicable jurisdictions), the Client is solely responsible for disclosing to end-consumers that the content was generated using AI technology. Onyx Studios provides the creative tool; the legal obligation to inform, label, or disclose AI involvement rests entirely with the User.

14. Prohibition of Sensitive Personal Data in Submissions
Users shall not submit scripts or input data containing sensitive Personal Identifiable Information (PII) belonging to third parties, such as government ID numbers, private medical records, financial credentials, or biometric data. Onyx Studios is not responsible for the legal consequences of processing unauthorized personal data provided by the User and reserves the right to reject or delete any submission suspected of containing such information.
15. Talent Name & Likeness Restriction
While a license is granted for the Audio Asset, it does not include the right to use the individual Talent’s legal name, personal brand, or professional history in marketing materials to imply a personal endorsement, unless a separate Celebrity Endorsement contract is signed between the parties.

16. Reputational Safeguard & Creative Veto
Onyx Studios reserves the right, at its sole discretion, to refuse service or terminate accounts associated with content that, while not strictly illegal, is deemed highly offensive, morally reprehensible, or damaging to the professional standing of Onyx Studios and its industry reputation.
Director’s Veto: For services involving human directing (e.g., Live Sessions), Onyx Studios reserves a Creative Veto. We may decline to direct or produce material that is deemed technically unfeasible or fundamentally detrimental to the artistic reputation of our leadership team.
17. Platform Neutrality & Content Disclaimer
Onyx Studios is a technology and production service provider. The generated Assets do not reflect the opinions, values, or beliefs of Onyx Studios or its personnel. The User assumes full responsibility for the social, cultural, and political impact of the content generated and shall not imply any affiliation between the content’s message and Onyx’s corporate identity.
Technical Safe Harbor: The Client acknowledges that Onyx Studios acts as a neutral technology provider. All creative decisions, scripts, and project briefs originate from the Client, and liability for the resulting content rests solely with the Client.
Algorithmic Neutrality: The Client acknowledges that AI synthesis is based on probabilistic patterns. Onyx Studios does not intentionally program biases into its models. Any perceived social, cultural, or gender bias in the generated Assets is an inherent characteristic of large-scale machine learning and is not a reflection of Onyx’s corporate values. The User is responsible for auditing the suitability of the output for their target audience.
18. Audit Restrictions & Trade Secret Protection
While Onyx Studios supports compliance transparency, any requested audit by the Client shall be limited to data privacy practices and license compliance verification. Under no circumstances shall an audit extend to Onyx’s proprietary AI algorithms, source code, training datasets, or trade secrets.
Any permitted audit must be conducted by a mutually agreed, neutral third party under a strict non-disclosure agreement (NDA) and at the Client’s sole expense.
19. Moral Rights & Personal Dignity of Talent
Notwithstanding the commercial license granted, Assets may not be used in content that is gratuitously cruel, fetishizes non-consensual violence, or severely violates the fundamental moral rights of the human Talent whose voice or performance was used as a base. Onyx Studios remains the sole arbiter of such violations and reserves the right to revoke licenses and pursue remedies under the enforcement provisions of this AUP.
20. Service Evolution & Data Disposal
In the event of platform upgrades, architecture migration, or service decommissioning, Onyx Studios reserves the right to delete legacy files after a thirty (30) day notice period. Onyx is not a permanent archival service; the Client is solely responsible for the long-term storage and backup of their purchased Assets once delivered.
Orphaned Assets: In the event of a User’s death or corporate dissolution, any Assets stored on the Platform that remain unclaimed for over one hundred and eighty (180) days shall be deemed orphaned. Onyx Studios reserves the right to terminate access and permanently delete such data.
Service Tier Evolution: Onyx Studios reserves the right to reclassify features, adjust usage quotas, or transition specific algorithms between subscription tiers to reflect ongoing R&D costs and technological shifts. Continued use of the Platform after such updates constitutes acceptance of the new service structure.
21. Emergency Law Enforcement Cooperation
Notwithstanding our Privacy Policy, Onyx Studios reserves the right to cooperate with international law enforcement in cases of imminent threat to life or national security. We may provide specific session data to authorized agencies under a valid emergency request without prior notice to the User, to prevent the criminal misuse of AI vocal technology.

22. Emerging Technologies
The prohibitions in this AUP extend to any future technologies, methods, or forensic tools not yet in existence at the time of acceptance that could be used to extract, replicate, or deconstruct Onyx’s proprietary audio DNA. The spirit of “No AI Training” (Section 9.2), “No Reverse Engineering” (Section 9.1), and “No Model Distillation” (Section 9.6) shall apply to all future technological contexts without requiring an amendment to this AUP.
23. Enforcement & Venue
Executive Escalation: Before initiating any legal action, the parties agree to a thirty (30) day cooling-off period during which the senior executives of both companies must meet in good faith to resolve the dispute.
All disputes arising under this AUP shall be governed by the laws of Taiwan (R.O.C.) and subject to the exclusive jurisdiction of the New Taipei District Court, as specified in Section 11 (Governing Law and Dispute Resolution) of the Terms of Service.
24. Enforcement Actions
Onyx Studios may utilize human review, and may employ automated tools, to monitor compliance with this AUP. Violations may result in one or more of the following actions, at Onyx’s sole discretion:
- Warning & Content Removal: For first-time or minor violations, a formal warning and removal of offending content.
- Immediate Account Termination: For serious or repeated violations, termination without prior notice.
- Forfeiture of Fees: No refunds will be issued for accounts terminated due to AUP violations.
- Legal Action: Severe violations (including AI Training Ban breaches, fraud, or impersonation) will be reported to law enforcement agencies and pursued through civil litigation as described in the Terms of Service.
- Post-Violation Asset Disposition: Upon termination of an account for AUP violations, Onyx Studios reserves the right to immediately and permanently delete all associated Input Data and generated Assets from its systems.
If any provision of this AUP is found unenforceable by a court of competent jurisdiction, the remaining sections shall continue in full force and effect. For all other general legal provisions (severability, no waiver, limitation periods, binding on successors, etc.), refer to the Terms of Service.
